Overview

We are MESH LABS ("Service Provider", "we", "us", or "our"), a company registered in England and Wales. We operate AgentWing, available at agentwing.io (the "Site"), together with any related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and MESH LABS, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, then you are expressly prohibited from using the Services and must discontinue use immediately.

We reserve the right, at our sole discretion, to modify or replace these Legal Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion. The modified Legal Terms will become effective upon posting. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

User representations

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise, except through interfaces we provide or authorise; (6) you will not use the Services for any illegal or unauthorised purpose; and (7) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

User registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

Your content and data

You retain ownership of the content you create, upload, or submit through the Services, including your workbooks, documents, comments, and knowledge sources ("Your Content"). You grant us a limited licence to host, store, process, and transmit Your Content solely as necessary to provide and improve the Services, including to operate AI features at your request.

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we may perform backups of data, you are solely responsible for maintaining your own copies of Your Content where it matters to you. You agree that we shall have no liability to you for any loss or corruption of data, and you hereby waive any right of action against us arising from any such loss or corruption.

You are responsible for ensuring that Your Content, and any personal data it contains, is handled in compliance with applicable laws, and that you have the necessary rights and permissions to submit it to the Services and to have it processed by AI features.

AI features

The Services use artificial intelligence to draft, review, summarise, and answer questions about your work. To provide these features, relevant content is processed by third-party AI model providers acting as our subprocessors, as described in our Privacy Policy.

You acknowledge that:

• AI output may be inaccurate, incomplete, or otherwise unsuitable, and must be reviewed by a person before it is relied upon. You are responsible for reviewing, verifying, and approving any AI-generated output before acting on it.
• AI output is not professional advice of any kind (including legal, financial, medical, or engineering advice).
• You are responsible for how you use AI output, and for ensuring that your use complies with applicable laws and the rights of others.
• Similar or identical output may be generated for other users, and we make no claim of exclusivity over AI-generated output beyond the rights you hold in Your Content.

Free trial and free plan

We may offer a free plan or a free trial to new users who register with the Services. Where a trial converts to a paid subscription, the account will be charged according to the chosen plan at the end of the trial unless cancelled beforehand.

Purchases and payments

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including your email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Applicable taxes will be added to the price of purchases where required.

Paid plans may be billed on a per-seat basis and on a recurring (for example monthly) cycle. You agree to pay all charges at the prices then in effect for your purchases, and you authorise us, through our payment processor, to charge your chosen payment method for any such amounts. If your order is subject to recurring charges, you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

Payments are processed by a third-party payment processor. We do not store your full card details. Your use of the payment processor is subject to their terms and privacy policy.

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current paid term, and unless required by law, payments already made are non-refundable. For billing questions, contact us at accounts@agentwing.io.

Modifications to the Services and prices

Prices for the Services are subject to change. We will give reasonable notice of material price changes affecting an active subscription.

We reserve the right at any time to modify or discontinue the Services (or any part or content thereof). We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Services, subject to the refund and notice provisions above.

Term and termination

These Legal Terms remain in effect while you use the Services. We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including if you breach these Legal Terms. Upon termination, your right to use the Services will cease immediately, and you will remain liable for all amounts due up to and including the date of termination.

In addition to terminating or suspending your account, we reserve the right to take appropriate legal action where warranted.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

Intellectual property rights

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, text, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). The Content and Marks are protected by applicable intellectual property laws.

Nothing in this section affects your ownership of Your Content.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business or personal use. Except as expressly permitted, no part of the Services and no Content or Marks may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these intellectual property rights will constitute a material breach of these Legal Terms and your right to use the Services will terminate immediately.

Your submissions

By directly sending us any question, comment, suggestion, idea, or feedback about the Services ("Submissions"), you agree that we may use that Submission for any lawful purpose, including to improve the Services, without acknowledgement or compensation to you. This section does not apply to Your Content, which remains yours as set out above.

You warrant that your Submissions are your own or that you have the necessary rights to provide them, and that they do not contain confidential information you are not entitled to share.

Prohibited activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

• Systematically retrieve data or content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as passwords.
• Circumvent, disable, or otherwise interfere with security-related features of the Services.
• Use any information obtained from the Services in order to harass, abuse, or harm another person.
• Make improper use of our support services or submit false reports of abuse or misconduct.
• Use the Services in a manner inconsistent with any applicable laws or regulations.
• Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other malicious material, or otherwise interfere with, disrupt, or create an undue burden on the Services or connected networks.
• Engage in any unauthorised automated use of the system, or attempt to bypass measures designed to prevent or restrict access to the Services.
• Attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising the Services, except as permitted by applicable law.
• Use the Services, or any AI output, to develop, train, or improve a competing product or model.
• Use the Services to generate or disseminate content that is unlawful, harassing, hateful, defamatory, deceptive, or that infringes the rights of others.
• Attempt to use the Services to access content, people, projects, or knowledge that you are not permitted to access.

Services management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms; (3) refuse, restrict access to, limit the availability of, or disable any of your content or any portion thereof; and (4) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

Privacy policy

By using the Services, you agree to be bound by our Privacy Policy. Please be advised that the Services may be hosted in, and personal data may be transferred to, the United States or other jurisdictions. Where required, we implement appropriate safeguards for such transfers.

We will take reasonable steps to comply with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Where we act as a data processor on your behalf, a separate Data Processing Agreement (DPA) may be available on request.

Service availability

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time without notice to you. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.

Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, and availability. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

Third-party links and services

The Services may include links to, or integrations with, third-party websites and services that are not affiliated with us. We are not responsible for examining or evaluating their content or accuracy, and we do not warrant or assume any liability for any third-party materials or services. Your use of any third-party service is at your own risk and subject to that third party's terms.

"As is" and "as available" disclaimer

The Services are provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, MESH LABS, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Services, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no representation of any kind that the Services will meet your requirements, achieve any intended results, be compatible with any other software or services, operate without interruption, be secure, or be error free, or that any AI output will be accurate or reliable.

Some jurisdictions do not allow the exclusion of certain types of warranties, so some or all of the above exclusions may not apply to you. In such a case the exclusions set out in this section shall apply to the greatest extent enforceable under applicable law.

Limitations of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Services shall not exceed the total amount of fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim. If no fees have been paid, our aggregate liability shall not exceed GBP 100.

To the maximum extent permitted by applicable law, in no event shall we or our suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever, including but not limited to damages for loss of profits, loss of revenue, loss of data, loss of business, or business interruption, arising out of or in any way related to your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages.

Nothing in these Legal Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify and hold harmless MESH LABS and its affiliates, partners, agents, contractors, licensors, service providers, and employees from any claims, damages, or losses arising from: (a) your use of the Services; (b) Your Content; (c) any breach of these Legal Terms by you; or (d) your violation of any law or the rights of a third party. This includes reasonable legal fees and costs.

Electronic communications

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

Disputes

If you have any concern or dispute about the Services, you agree to first try to resolve the dispute informally by contacting us.

Entire agreement

These Legal Terms and any policies or operating rules posted by us on the Site or in respect of the Services constitute the entire agreement and understanding between you and us and govern your use of the Services, superseding any prior agreements. Any ambiguities in the interpretation of these Legal Terms shall not be construed against the drafting party.

Governing law

These Legal Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of England and Wales.
